Ambassador Program Terms

These Ambassador Program Terms (“Terms”) govern participation in the Soulshine Boutique Ambassador Program (“Program”). By applying to, joining or participating in the Program, you agree to these Terms.

Program Eligibility and Acceptance

Participation in the Program is subject to approval by Soulshine Boutique. Submission of an application does not guarantee acceptance.

Applicants must provide accurate and current information. Soulshine Boutique reserves the right to approve or decline applications and to suspend or remove participants from the Program in accordance with these Terms.

Exclusive Ambassador Pricing

Approved ambassadors receive access to exclusive pricing on eligible Soulshine Boutique products.

Exclusive ambassador pricing is intended for the ambassador's personal purchases and may not be transferred to or shared with another person.

Ambassador pricing cannot be combined with other product or order discounts unless specifically permitted by Soulshine Boutique. Eligible free-shipping offers may be combined with ambassador pricing when applicable.

Soulshine Boutique may change pricing, eligible products or other Program benefits at any time.

Referral Links and Discount Codes

Approved ambassadors may receive a personal referral link and/or discount code to share with their audience.

Customers may receive the promotional discount offered by Soulshine Boutique at the time of purchase when using an eligible ambassador referral link or discount code. The current customer referral offer is 15% off qualifying purchases.

Referral links and discount codes are intended for genuine customer referrals. Ambassadors may not use their own referral link or discount code to generate referral rewards on their personal purchases.

Referral Rewards

Ambassadors earn $10 in store credit for every $100 in qualifying referral sales attributed to them.

Qualifying referral sales accumulate toward reward thresholds. Any eligible amount below the next $100 reward threshold carries forward until the threshold is reached.

For example, once an ambassador accumulates $100 in qualifying referral sales, the ambassador earns $10 in store credit. Additional qualifying referral sales continue accumulating toward the next $100 threshold.

First Sale Bonus

An ambassador earns a one-time additional $10 in store credit when their qualifying referral sales first reach $100.

The First Sale Bonus is awarded in addition to the regular $10 referral reward earned upon reaching the first $100 in qualifying referral sales.

Milestone Bonus

Ambassadors earn an additional $10 in store credit for every $500 in qualifying referral sales.

The Milestone Bonus is repeatable. An additional $10 in store credit may be earned as qualifying referral sales reach $500, $1,000, $1,500 and each subsequent $500 milestone.

Store Credit

Store credit earned through the Program:

• may be used toward eligible Soulshine Boutique purchases, including purchases made at exclusive ambassador pricing;
• carries over toward future purchases;
• does not expire while the Program and the ambassador's participation remain active, except where otherwise required or permitted by applicable law;
• has no cash value and cannot be redeemed for cash; and
• may not be sold, transferred or exchanged for another form of payment.

Store credit may be subject to Shopify or other platform limitations governing how store credit is issued and redeemed.

Qualifying Referral Sales

Referral rewards and bonuses are based only on qualifying referral sales successfully attributed to an ambassador.

Qualifying referral sales exclude, as applicable:

• cancelled orders;
• returned or refunded purchases, including refunded portions of an order;
• fraudulent, disputed or otherwise invalid transactions;
• gift card purchases;
• the ambassador's own purchases; and
• purchases involving discounts, promotions or other circumstances that make the transaction ineligible for referral rewards.

If store credit has already been awarded for a purchase that is later cancelled, returned, refunded, disputed or determined to be ineligible, Soulshine Boutique may adjust future rewards or the ambassador's store credit balance as appropriate.

Referral Attribution

A purchase must be successfully attributed to an ambassador through an eligible referral link, discount code or other tracking method supported by the Program to qualify for rewards.

Referral tracking may be affected by browser settings, cookies, customer behavior, use of different devices, incorrect discount codes, technical limitations or other circumstances.

Soulshine Boutique cannot guarantee referral credit for transactions that cannot reasonably be attributed to an ambassador through the Program's available tracking methods.

Promotional Conduct

Ambassadors are expected to represent Soulshine Boutique honestly and professionally.

Ambassadors may not:

• make false, misleading or deceptive claims about Soulshine Boutique, its products, prices, promotions or Program;
• engage in spam or unsolicited mass promotion;
• impersonate Soulshine Boutique or represent themselves as an employee or authorized representative of Soulshine Boutique;
• engage in fraudulent or misleading methods of generating referrals, clicks or purchases;
• misuse Soulshine Boutique's name, trademarks, promotional codes or other brand assets; or
• engage in conduct that Soulshine Boutique reasonably determines could harm its customers, reputation or brand.

Advertising and Relationship Disclosures

Ambassadors are responsible for clearly and conspicuously disclosing their relationship with Soulshine Boutique when promoting products or sharing referral links or discount codes when required by applicable law or platform rules.

This may include identifying that the ambassador receives a benefit or reward from qualifying purchases made through their referral link or code.

Ambassadors are responsible for complying with applicable advertising, endorsement, social-media and consumer-protection requirements.

Brand Content and Intellectual Property

Soulshine Boutique's names, logos, product images, graphics, trademarks and other brand materials remain the property of Soulshine Boutique or their respective owners.

Approved brand materials may be used for legitimate promotion of Soulshine Boutique in connection with the Program, subject to any brand guidelines or instructions provided by Soulshine Boutique.

Participation in the Program does not grant ownership of Soulshine Boutique's intellectual property.

Independent Relationship

Participation in the Program does not create an employment, partnership, joint venture, franchise or agency relationship between an ambassador and Soulshine Boutique.

Ambassadors participate independently and are responsible for their own activities and compliance with laws and regulations applicable to those activities.

Taxes

Ambassadors are responsible for determining and satisfying any tax obligations that may arise from benefits or rewards received through the Program.

Soulshine Boutique may request information or provide reporting when required by applicable law.

Program Abuse

Soulshine Boutique reserves the right to investigate suspected misuse of the Program.

Fraud, manipulation of referrals, self-referrals, unauthorized sharing of ambassador-only benefits, creation of artificial transactions or other attempts to improperly obtain Program rewards may result in removal from the Program and forfeiture or adjustment of rewards associated with the improper activity.

Program Changes

Soulshine Boutique may modify the Program, including its reward amounts, milestone levels, customer discounts, ambassador pricing, eligible products, qualification requirements or other benefits.

When appropriate, material changes will be communicated to participating ambassadors or reflected in updated Program information.

Continued participation following an applicable change constitutes acceptance of the updated Program terms.

Termination

An ambassador may stop participating in the Program at any time.

Soulshine Boutique may suspend or terminate participation for violation of these Terms, suspected fraud or abuse, misuse of Program benefits, conduct harmful to the brand or customers, or other legitimate Program-management reasons.

Soulshine Boutique also reserves the right to discontinue the Program.

The treatment of any remaining store credit following termination or discontinuation will be subject to applicable law, the reason for termination and any Program terms communicated at that time.

Limitation of Program Availability

Soulshine Boutique does not guarantee any particular level of referral activity, rewards, product availability, promotional opportunities or other results from participation in the Program.

Program features may also depend upon Shopify and other third-party services used to operate the Program.

Changes to These Terms

These Terms may be updated periodically to reflect changes to the Program, business practices, technology or legal requirements.

The current version will be identified by the “Last Updated” date shown above.
